This is an alternative to the buy back clause that we selling team can insert into a transfer. And would be in lieu of a sell-on fee additionally agreed. Right of First Refusal / Opportunity to Match can be inserted into a clause. If the buying team later decides to sell the player, they are obligated to inform the selling team and give them an opportunity to match the highest accepted bid. That could be declined (as was the case when Barça offered Cesc to Arsenal in 2014) or the player could reject the contract on offer, if there is bad blood from the player's sale/treatment. Perhaps this is a middle ground between the buy back clause. A buy back clause could potentially limit the profit a club makes on selling a player, where the first option is no loss in fee. And selling a player back to the club they bought them from, would prevent having to turn over any applicable sell-on fee.
